Plain‑English summary (not a substitute for the terms): Warp Studio is a subscription software service with credit‑based usage. You keep rights to your own uploads and, on paid plans, to AI‑generated images you create with the service. Don’t use the service for unlawful, infringing, or harmful content. Subscriptions renew monthly until you cancel. Credits are not money, expire each billing cycle, and we may change how many credits actions cost. This document contains legally binding terms—please read it carefully.

1. Acceptance of Terms
By creating an account, accessing, or using Warp Studio (the “Service”), you agree to be bound by these Terms of Service (the “Terms”) and our Privacy Policy (collectively, the “Agreement”). If you do not agree, do not use the Service.
If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity; in that case, “you” means that entity.
2. Eligibility
You must be at least the age of majority in your place of residence (18 in most jurisdictions) to use the Service. You may use the Service only in compliance with these Terms and all applicable laws.
3. Accounts & Security
You are responsible for all activity under your account and for keeping your credentials secure.
Don’t share login credentials or allow others to access your account.
Notify us immediately of any unauthorized use.
We may deny or revoke account access for suspected abuse, fraud, or violations of these Terms.
4. Service Overview (What Warp Studio Does)
Warp Studio is a set of browser‑based creative tools, including:
Warp Animate: Pin‑based mesh deformation and tweening for 2D animation. Supports keyframes, FPS/duration controls, preview, and export to PNG sequence, WebM (alpha), and animated WebP.
Image Editor: Paint, erase, free transform, lasso, magic wand, mesh brush, onion‑skin overlays, and frame round‑trip from Warp Animate.
Background Remover: AI‑assisted background removal with tolerance/defringe controls.
Auto‑Spritesheet Cutter: Detects gutters or packs blobs, normalizes frame sizes, and exports numbered PNG sequences (ZIP).
Legacy Animations: One‑click presets (breathing, bobbing, simple rotations, quick warps) for rapid iteration.
AI Generation (sometimes referred to in the UI as “Google Nano Banana”): Generate concept art or variants using third‑party AI models with optional masking.
Documentation. Quickstart and feature references are provided for convenience and may change. They are not guarantees of specific functionality and are not part of this Agreement.
We may add, change, or remove features at any time (including in beta/experimental form) with or without notice, provided that any material changes to paid features will be handled consistent with Section 15 (Changes to the Service).
5. Software License & Access
Subject to your compliance with this Agreement and payment of applicable fees, Warp Studio grants you a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to access and use the Service for your own creative projects and/or your internal business purposes during your subscription term.
We (and our licensors) retain all right, title, and interest in and to the Service, including software, interfaces, designs, documentation, and all related intellectual property. Except for the limited license above, no rights are granted to you by implication or otherwise.
6. Your Content; Inputs and Outputs; AI‑Generated Images
6.1 Definitions
Input Content: any content you upload or provide to the Service (e.g., images, masks, prompts, spritesheets).
Output Content: content generated, edited, or exported by the Service using your inputs (e.g., animations, edited images, AI‑generated images).
6.2 Ownership & License to Warp Studio
You retain any ownership rights you have in your Input Content and Output Content. You grant Warp Studio a worldwide, non‑exclusive, royalty‑free license to host, store, process, transmit, display, and create derivative works of your Input Content and Output Content solely as necessary to provide and operate the Service (e.g., caching, rendering, thumbnails, processing jobs, backups, content moderation, and troubleshooting). This license ends when your content is deleted from our systems, subject to reasonable technical and legal retention requirements.
6.3 AI Generation — Rights & Responsibilities
Paid plans: On paid plans, neither Google nor Warp Studio claims ownership of your AI‑generated images produced via the Service. Subject to applicable law and third‑party license terms, you may use such outputs for commercial purposes.
Responsibility for Inputs/Outputs: You are responsible for ensuring you have necessary rights to Input Content you upload and for how you use Output Content. Outputs may be similar to content generated for others.
Prohibited Uses: Do not use the Service to create unlawful, infringing, defamatory, hateful, harassing, deceptive, or otherwise harmful content, or to violate any third‑party rights (including copyright, trademark, publicity, and privacy).
6.4 Deletion
You can delete projects/files from the Service, and we will delete them from active systems within a reasonable time. Some copies may persist in backups for a limited period.
7. Third‑Party Services & Models
The Service may integrate third‑party technologies (e.g., background removal libraries, AI model providers). Your use of those features may be subject to additional terms of such providers, and you authorize us to act as your agent to the extent necessary to obtain services from them for you. We are not responsible for third‑party services’ availability or performance.
8. Subscriptions, Credits, and Pricing
8.1 Plans & Auto‑Renewal
The Service is offered via monthly subscriptions that automatically renew until canceled. Current plans:
Warp Creator – $10/mo: 1,100 credits/month
Warp Pro – $20/mo: 2,500 credits/month
Warp Studio – $35/mo: 5,000 credits/month
All plans include a commercial license for AI‑generated images (see §6.3). Prices exclude taxes. We may change prices or features on a prospective basis per §15.
8.2 Credits & Usage Costs
Credits are consumption units with no cash value, non‑refundable, non‑transferable, and expire at the end of each billing cycle. Unless we specify otherwise, credits cannot be rolled over. We may adjust credit costs prospectively. As of the Effective Date, actions typically cost:
Animations (PNG Sequence export): 7 credits each
AI Generations with Export: 7 credits each (6 without Export)
Background Removals with Export: 1 credit each
General PNG Exports (Image Editor): 1 credit each
Spritesheet Cutter runs: 1 credit each
Counts shown in marketing materials assume you spend your monthly balance on a single action type; you can mix and match freely.
8.3 Plan Changes; “Switch Now”
If you switch plans mid‑cycle, your new plan begins immediately and starts a new monthly period. Any remaining time or credits from the prior plan are not credited and may be forfeited. This is highlighted in our pricing page as: “Switch now and start a new month. Your current remaining time won’t be credited.”
8.4 Billing; Taxes; Refunds
You authorize us (and our payment processor) to charge your payment method for subscription fees and applicable taxes on a recurring basis until you cancel.
Fees are non‑refundable except where required by law.
If a charge fails, we may suspend access until payment is resolved.
8.5 Free Tiers, Promotions, Trials
We may offer free tiers, promotional credits, or trials. We may modify or discontinue such offers at any time. We may limit such offers to one per person/household/device and restrict suspected abuse.
9. Exports & Formats
The Service supports export to PNG Sequence, WebM (alpha) where supported by the target tool, and animated WebP. Compatibility depends on third‑party software support; we do not guarantee a specific workflow outside Warp Studio.
10. Acceptable Use
You agree not to, and not to permit others to:
Upload or generate unlawful, infringing, deceptive, hateful, harassing, or otherwise harmful content;
Violate or misappropriate intellectual property or publicity/privacy rights;
Attempt to defeat technical limitations, rate limits, or credit accounting;
Access or use the Service via automated scripts or scraping except through documented APIs we make available;
Reverse engineer, decompile, or derive source code except to the extent such restriction is prohibited by law;
Use multiple accounts to avoid fees/limits or resell access without our written consent;
Interfere with or disrupt the Service or its networks;
Transmit malware or engage in security testing without written permission.
11. Intellectual Property; Feedback
We and our licensors own the Service and all related intellectual property. You may submit feedback, suggestions, or ideas; you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use such feedback for any purpose.
12. Beta/Experimental Features
We may label features as alpha/beta/preview/experimental. Such features are provided “as is,” may be rate‑limited or changed/removed at any time, and may not be supported. Use them at your own risk.
13. Availability; Support; Modifications
We strive for high availability but do not guarantee uninterrupted or error‑free operation. We may modify, suspend, or discontinue the Service (in whole or part) with reasonable notice where practicable. For paying subscribers, we will use commercially reasonable efforts to avoid materially diminishing core paid features during a billing period.
14. Termination
You may cancel at any time via your account settings; cancellation takes effect at the end of your then‑current billing period unless §8.3 applies. We may suspend or terminate your access for material breach of these Terms or to comply with law. Upon termination, your license ends and you must stop using the Service. Sections that by their nature should survive (e.g., §§6, 8.4, 10–21) will survive.
15. Changes to the Service or Pricing; Changes to Terms
We may update these Terms and/or adjust plans, features, or prices on a prospective basis. We will provide notice of material changes (e.g., via the Service or email). Your continued use after changes become effective constitutes acceptance. If you do not agree, you must stop using the Service and cancel before the next renewal.
16. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE (INCLUDING BETA FEATURES) AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR THAT OUTPUTS WILL MEET YOUR REQUIREMENTS OR BE SUITABLE FOR A PARTICULAR USE.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WARP STUDIO OR ITS LICENSORS BE LIABLE FOR: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR (B) LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE—EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS YOU PAID TO WARP STUDIO FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY; IN SUCH CASES, THESE LIMITS APPLY TO THE FULLEST EXTENT PERMITTED.
18. Indemnification
You will defend, indemnify, and hold harmless Warp Studio and its affiliates, officers, employees, and agents from and against any third‑party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your Input Content or Output Content; (b) your use of the Service in violation of this Agreement or law; or (c) your infringement or misappropriation of third‑party rights.
19. Copyright Complaints
If you believe content on the Service infringes your copyright, please send a notice including: (i) your contact information; (ii) identification of the work claimed to be infringed; (iii) identification of the allegedly infringing material and its location; (iv) a statement of good‑faith belief; (v) a statement under penalty of perjury that the information is accurate and that you are authorized to act; and (vi) your physical or electronic signature. Send notices to: warpstudioapp@gmail.com (replace with your contact). Repeat infringers’ access may be terminated.
20. Privacy
Our collection and use of personal data are described in our Privacy Policy. By using the Service, you consent to our processing of your information consistent with that policy.
21. Governing Law; Venue
These Terms are governed by the laws of the Province of Nova Scotia, Canada, and the federal laws of Canada applicable therein, without regard to conflict‑of‑laws principles. You and Warp Studio agree to the exclusive jurisdiction and venue of the courts located in Halifax Regional Municipality, Nova Scotia, for all disputes not subject to other dispute‑resolution terms required by local law. You and we each waive any objection to venue or forum non conveniens.
22. Export & Sanctions Compliance
You may not use or export the Service in violation of applicable export, re‑export, or sanctions laws. You represent that you are not located in, or a resident of, any country or on any list where use of the Service is prohibited by law.
23. Miscellaneous
Entire Agreement. These Terms constitute the entire agreement between you and Warp Studio regarding the Service.
Severability. If any provision is held invalid, the remainder will remain in effect.
No Waiver. Failure to enforce a provision is not a waiver.
Assignment. You may not assign this Agreement without our consent; we may assign it in connection with a merger, acquisition, or sale of assets.
Notices. We may provide notices via the Service, email, or your account. Legal notices to us should be sent to warpstudioapp@gmail.com (replace with your contact) or to our postal address as published on our website.
